제12조 출자기한:
중외쌍방이 각자 출자비율에 따라 2차에 나누어 납부하며, 1차 50%는 사업자등록증 발급일로부터 1개월 내에 납입하고, 잔금은 1년 내에 납입한다. 합자 쌍방이 출자금을 납입한 후, 합자회사에서 중국의 공인회계사로부터 자금평가를 위탁하여 자금평가보고서를 받고, 합자회사가 이 보고서를 의거하여 투자자에게 회사인장이 있는 출자증명서를 발급하며 법률에 의거하여 회사 투자자 명부를 장만한다. 제13조 회사등록자본:
13.1. 합자회사의 등록자본은 인민폐 26,500,000위안 13.2. 갑, 을 쌍방이 각자 출자비례에 따라 2차에 나누어 납부하며, 1차 는 쌍방이 계약서체결 후 각자 등록자본의 10%를 납부하고, 사업자등록증 발급일로부터 1개월 내에 40%를 납부한다. 제14조 합자회사 등록자본금의 조정 및 지분양도는 반드시 합자쌍방이 결정한 후, 원 심사기관의 비준을 받아서, 원 등기기관에서 변경등기 수속을 처리하여야 한다.
Article 12 Terms of Invest: The Parties invest money twice in registered capital of Limited Partnership in accordance with contribution proportion. First, the Parties pay 50% of the amount of payment in question within one month from the date of issue of registration of business proprietor and pay the last amount within three months. Following the payment of the above mentioned registered capital, the Parties are to entrust the certified public accountant of the People’s Republic of China with the budget appraisal account and receive the report of that account from the accountant in question. The joint stock company (provisionally) named Sino?Korea Dalian Taihe Concrete Fabrication Joint Venture Co., Ltd. must issue a certificate of contribution to its investors.
Article 13 Registered capital of Limited Partnership: 13.1. Limited Partnership’s registered capital is CYN 26,500,000 Yuan. 13.2. The Parties A and B invest money twice in registered capital of Limited Partnership in accordance with contribution proportion. First, the Parties pay 10% of the registered capital following the conclusion of the joint-capital agreement respectively. Secondly, the Parties pay 40% of the registered capital within one month from the date of issue of registration of business proprietor.
Article 14 The adjustment and equity alienation of registered capital of Limited Partnership is to be decided by the Parties and to be ratified by the original examination and ratification agency. Finally, the procedure of registration of alteration is to be conducted by the original registry organization. |
