기술료 요율의 최혜 대우(Royalty Rate)[기술제휴계약1]
 [저서 원문] In the event that ABC grants a license under the aforesaid patent at a royalty rate or rates lower than the corresponding rate or rates provided for herein, or on any more favorable terms and conditions, XYZ shall be entitled to have the benefit of such lower royalty rate or rates or such more favorable terms or conditions for its manufacture, use and sale hereunder subsequent to the date of such grant. ABC가 상응하는 요율보다 낮은 기술료 또는 더 유리한 조건으로 특허권을 부여하는 경우, XYZ는 그러한 실시일에 따른 본 계약상의 제품제조, 사용, 판매를 위하여 그러한 낮은 로열티 또는 유리한 조건을 받을 자격이 있다. 본 예문은 기술료에 관한 최혜대우를 규정한 것이다. [필자의 의견] ABC가 본 계약에 제시된 해당 요율보다 낮은 기술료 또는 더 유리한 조건으로 상기 특허권을 부여하는 경우, XYZ는 그러한 실시일 이후에는 본 계약상의 제품제조, 사용, 판매를 위하여 그러한 낮은 로열티 또는 유리한 조건으로 인한 이익을 향유할 자격이 있다. 1. the corresponding rate or rates provided for herein에서 provided for herein은 the corresponding rate or rates에 대한 설명으로 ‘본 계약에 제시된 해당 요율’로 번역하는 것이 명확하다. 2. subsequent to는 날짜 앞에 붙었으므로 ‘~일 이후에는’이라고 해야 한다. 3. 로열티나 조건은 XYZ가 받는 것이 아니므로 ‘~ 로열티 혹은 조건으로 인한 이익을 향유할 자격이 있다’라고 하는 것이 자연스럽다. |
