특허실시권의 가격과 조건(Price and Terms)[기술제휴계약2]
 [저서 원문] 9-17 Price and terms ABC grants this license on the express condition that the prices, terms and conditions of sale for use or sales in the United States, its territories and possessions of products embodying the invention covered by said Letters Patent and so long as such products continue to be covered by said patent, shall be no more favorable to the customer than those which from time to time ABC establishes and maintains for its own sales of similar or competing products under said patent to such or other similar situated customer purchasing in like quantities. XYZ shall be notified of all such prices, terms and conditions of sale fixed by ABC. The prices, terms and conditions of sale of ABC may be changed by ABC from time to time, notice being given XYZ, but not less than five (5) days' notice shall be given before any such change shall go into effect. It is agreed that the sale of said products by XYZ at prices lower, or on terms or conditions more favorable, than those set forth by ABC shall constitute a breach of this Agreement. ABC는 상품에 상기 특허가 적용되는 한 상기 특허권으로 제조된 상품의 미국 내 판매 가격과 조건이 비슷한 수량을 구매하는 고객 또는 동종의 고객에게 자신의 판매분 또는 경쟁품에 대하여 정하여 온 가격과 판매조건보다 더 유리하게 판매하지 않는다는 명시적 조건으로 본 실시권을 부여한다. ABC는 자신이 정한 모든 판매 가격과 조건을 XYZ에게 통지해야 한다. 때때로 ABC가 변경하는 판매 가격과 조건의 통지는 그 변경의 효력발생일 5일 이내에 XYZ에게 통지되어야 한다. ABC가 정한 조건보다 낮은 가격 또는 더 유리한 조건으로 상기 제품을 판매하면 그것은 본 계약위반이 된다는 데 동의한다. [나의 의견] ABC는 미합중국 영토와 점유지에서 상기 특허로 표시되는 발명이 화체되어 있는 제품을 사용·판매 목적으로 판매함에 있어, 그러한 제품에 동 특허가 계속 적용되는 한, ABC 스스로가 비슷한 수량을 구매하는 유사한 상황에 있는 고객들에게 판매하기 위하여 수립·유지하는 것보다 유리한 가격이나 조건으로 판매하여서는 안 된다는 명시적 조건 하에 본 실시권을 허가한다. ABC는 자신이 정한 모든 판매 가격과 조건을 XYZ에게 통지해야 한다. 때때로 ABC는 XYZ에 통지함으로써 판매 가격과 조건을 변경할 수 있는데, 통지는 적어도 동 변경의 효력발생일 5일 전에 XYZ에게 전달되어야 한다. XYZ는 ABC가 정한 조건보다 낮은 가격 또는 더 유리한 조건으로 상기 제품을 판매하는 것은 본 계약의 위반임에 동의한다. ※ 전 문단은 문장의 구조를 정리한 것. 후 문단에서 중요한 오류가 발생했다고 생각한다. ‘not less than five (5) days' notice shall be given before any such change shall go into effect’ 을 저서 원문처럼 ‘그 변경의 효력발생일 5일 이내에 XYZ에게 통지되어야 한다.’라고 번역하면 효력발생일이 먼저이고 변경통지일이 나중이어도 5일 이내이기만 하면 되는 의미가 되지만, 영어 원문은 before를 사용함으로써 효력발생일 이전에 통지가 있어야 한다는 사실을 명확히 한 것이라고 생각된다. |
